The independent distribution system has proven to be a highly effective way for manufacturers to market construction equipment and develop customer brand loyalty through product support. Without a strong independent dealer network, a manufacturer will likely not succeed. A well-written and fair contract is the foundation of a solid dealer-manufacturer relationship. AED's "Equipment Distribution Contracts" provides a guide to help manufacturers and dealers negotiate distribution contracts that balance the needs and interests of both parties. Chapter One examines clauses that control the formation of the distribution arrangement. Chapter Two addresses provisions that control day-to-day interaction between dealers and manufacturers. Chapter Three deals with the contract clauses implicated when a distribution arrangement is terminated, whether on mutually agreeable terms or as the result of a dispute.
